Chapitre II: Des Obligations du Mandataire (On the Obligations of the Mandatary)

Le mandataire n'est tenu à aucune garantie envers le tiers avec lequel il contracte en cette qualité, pour tout ce qu'il a fait au-delà de ses pouvoirs, s'il a donné à ce tiers connaissance de ses pouvoirs, à moins qu'il ne s'y fût formellement obligé.

Life lesson: If you showed the third party your actual powers and they still dealt with you, you're not personally liable for exceeding them — unless you specifically promised to be.
Notes: Mandatary's personal liability to third parties: none if powers disclosed, even for ultra vires acts. Exception: express personal guarantee.
